LEGAL TERMS

These conditions relate to Share Registrars Limited‘s web based share portal. Please read them as agreement to them is needed before you can access the service. If you have any queries please email enquiries@shareregistrars.uk.com or ring 01252 821390

1. Definitions and Interpretations

“Company” means the company in which you are a holder and in respect of which you are entitled to make use of the web service.

“Data Protection Act” means the Data Protection Act 2018

“Holder” means a shareholder or other person with an interest in the shares.

“ID” means the User Identification Details including investor code and password where appropriate.

“Investor Code” means the unique reference number issued to you and which can be found on your share certificate and tax voucher

“Password” means the password selected by you when you first register to use the web service or any replacement

“Shares” means shares in the company

“Share Registrars” means Share Registrars Limited, a company registered in England and Wales with registered number 4715037 and registered office at 27/28 Eastcastle Street, London W1H 8DH

“The System” means the computer system, including both hardware and software, used by you to access the web service.

“Web Service” means the web share registration service provided by Share Registrars

2. Security

2.1 Security and confidentiality are of vital importance to us.

2.2 By registering for the web service you warrant that you are the holder or attorney for the holder with a valid legal right to access it

2.3 When you register you will be required to provide authenticating information. Once you have provided this and created your ID we will confirm your registration by first class mail to your registered address. When you access the site for the first time, you may be asked one or more security questions

2.4 You are responsible for the security of your ID.  You agree that you are responsible for any actions entered through this service by you or others who obtain access through using your ID and will defend and indemnify Share Registrars  against any and all liabilities, costs or damages arising out of claims or suits by third persons based upon or relating to such access or use.

2.5 The use of the web service may involve data being collected concerning individuals. Share Registrars will protect such data in accordance with the requirements of the Data Protection Act 2018. By use of the web service you agree that Share Registrars may collect and hold your personal information and disclose it to such regulatory authorities as required by law and to the company and Euroclear UK.

2.6 Currently Share Registrars does not record telephone calls, but it reserves the right to do so for evidence in the case of a dispute.

3. Registration

3.1 Prior to registration you are required to ensure that you have a computer and equipment adequate for accessing the web system and maintaining the system

3.2 By completing the registration form you agree to be bound by these terms and conditions.

3.3 You will be required to provide security data for yourself. Upon having been authenticated you will be issued with an ID.  You will be given a limited number of attempts to enter your ID.  If you fail to enter your ID correctly within this limit your right to use the web service may be withdrawn. Should this happen you will need to re-register by contacting Share Registrars in writing either by email or post. 

4. Operation

4.1 The web service will usually be available for use 24 hours a day. However, it may be temporarily unavailable for a number of reasons such as maintenance and failure of the internet outside the control of Share Registrars. Share Registrars shall not be liable for any non-availability.

4.2 You are responsible for accessing the web service. As access is through the public net Share Registrars is able to give no warranty regarding the access, speed and availability of the network services.

4.3 Share Registrars reserves the right to make any technical changes to the site that it deems necessary without giving notice and will not be responsible should this affect your access.  

4.4 You must be aware that the share data held on the web is not necessarily up to date as this is an active site. In particular it will probably not have a record of recent deals as such deals take time to reach registrars.

5. Liability

5.1 Share Registrars is entitled to rely upon the use of your ID as sufficient identification and will not be liable for any use of your ID by persons who are not authorised by you. You agree to notify Share Registrars immediately if you suspect that your ID has been compromised.

5.2 Share Registrars will not be liable for any damages either direct or indirect arising from the use of this service and offers no warranties.

5.3 These Conditions of Use shall be subject to and construed in accordance with English law. Both you and Share Registrars hereby agree to submit any dispute arising out of or in connection with these Conditions to the exclusive jurisdiction of the English courts.
